These terms apply to every quote, order and supply of goods or services by BITLOCK PTY LTD (ABN 98 148 898 542) (“BITLOCK”, “we”, “us”) to a customer (“you”). They override any terms on your purchase order unless we agree otherwise in writing. Placing an order, accepting a quote or taking delivery means you accept these terms.
1. Quotes and orders
A quote is valid for 30 days unless it states otherwise, and is based on the information you gave us. An order is accepted when we confirm it in writing or begin supplying it. We may decline any order, including where a restricted key request cannot be verified or stock is unavailable. Prices are in Australian dollars and exclude GST unless stated. Freight, installation and programming are charged separately unless the quote includes them.
2. Payment
Unless you hold an approved trade account, payment is due before dispatch. Trade customers with an approved account pay on the terms agreed for that account, as shown on the quote, invoice or account application. If an account falls overdue we may suspend supply until it is brought up to date and recover reasonable collection costs. Card payments may attract a surcharge equal to our cost of acceptance.
3. Delivery and risk
Delivery dates are estimates. We are not liable for delay caused by manufacturers, carriers or events outside our control. Risk in the goods passes to you on delivery to the address you nominate, or on collection. Trade shop orders over $190 are delivered free within Australia; other orders are charged freight at cost. You must inspect goods on delivery and tell us of any shortage or transit damage within 7 days.
4. Title
Title in the goods stays with BITLOCK until you have paid for them in full. Until then you hold them as bailee, must store them so they can be identified as ours, and must not sell them except in the ordinary course of your business. We may register our interest under the Personal Property Securities Act 2009 (Cth) and you waive the right to receive notices under it.
5. Restricted key systems and custom products
Keys, cylinders and changes for a Mul-T-Lock restricted key system are supplied only on a request from an authorised signatory recorded for that system. Restricted keys, keyed-alike or master-keyed products, programmed CLIQ devices and other goods made or configured to your order cannot be cancelled once production has begun and cannot be returned unless faulty.
6. Returns
Returns are accepted only when authorised by us in advance. Contact us with the invoice number and the items you wish to return; if we approve the return we will give you a return authorisation, and goods sent back without one will not be credited. Authorised returns of stock items must be in original, unopened and resaleable condition and reach us within 14 days of delivery. A restocking fee of 20% of the invoiced price applies to every authorised return, and return freight is at your cost. Section 5 items, software, batteries and items marked non-returnable cannot be returned for change of mind. This clause does not limit your rights under section 7.
7. Warranty and consumer guarantees
All goods carry a 12-month warranty against defects in materials and workmanship from the date of invoice. Where the manufacturer offers a longer warranty on a product, that longer period applies. To claim, contact us with the invoice number and a description of the fault; we may ask you to return the goods for assessment. The warranty does not cover wear and tear, misuse, incorrect installation by others, unauthorised modification, or damage from the environment or power supply.
Our goods come with guarantees that cannot be excluded under the Australian Consumer Law. You are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the goods repaired or replaced if the goods fail to be of acceptable quality and the failure does not amount to a major failure.
8. Services
Where we install, program or service products, we will do so with due care and skill at the agreed site and time. You must provide safe access, power and any site inductions required. Extra visits caused by site conditions, missing access or changes to the scope are charged at our current rates.
9. International orders
This clause applies when goods are delivered outside Australia, and overrides clauses 1 to 3 and 6 to the extent they differ.
International prices are quoted and payable in United States dollars unless the quote states another currency. The price and currency on the quote are fixed for its validity period; we do not adjust for exchange-rate movements after you accept it. Payment is due in full before dispatch by international bank transfer, with all bank and intermediary charges paid by you. Australian GST is not charged on goods exported directly to you.
We arrange freight to the destination named on the quote and invoice it to you at cost. Goods are supplied CPT that destination (Incoterms 2020): we pay the carriage, but risk passes to you when the goods are handed to the first carrier in Sydney, so any transit loss or damage is claimed against the carrier or your insurer. Transit insurance is arranged only if you ask for it on the order, at your cost. Import duties, local taxes, customs clearance, permits and any delays at the border are your responsibility. You are responsible for confirming that the goods may be imported and used in your country, including radio and telecommunications approvals for GPS tracking devices and any rules on restricted key systems.
Some brands we distribute limit the countries we may supply into. We may decline an international order where a manufacturer’s territory restriction applies.
The 12-month warranty applies. Goods claimed under warranty are returned to Alexandria NSW at your cost for assessment; if the claim is accepted we repair or replace the goods and pay the freight back to you. The Australian Consumer Law guarantees in clause 7 apply only to supplies made in Australia.
10. Liability
To the extent permitted by law, our liability for any claim arising from the supply of goods or services is limited, at our option, to repairing or replacing the goods, resupplying the services, or paying the cost of doing so. We are not liable for indirect or consequential loss, including loss of profit, business interruption, or loss arising from theft or unauthorised access, except where the law does not allow that exclusion. Security products reduce risk; they do not eliminate it, and you remain responsible for your own security arrangements and insurance.
11. General
We may update these terms; the version current when you place an order applies to it. These terms are governed by the laws of New South Wales, Australia. If any clause is unenforceable the rest still applies. Our Privacy Policy explains how we handle personal information collected in the course of supply.
